Please read these Terms carefully before using Dinly. By downloading, installing, or using the App you agree to be bound by these Terms. If you do not agree, do not use the App.

1. About Dinly and these Terms

Dinly ("Dinly", "we", "us", "our") is a mobile application that enables groups of users to manage shared budgets, track household spending, and coordinate money requests and approvals within a private group. The App is available on the Apple App Store and the Google Play Store. Dinly is developed and operated by Nixelion Ltd., a company registered in Malta (registration number: <tba>, pending).

These Terms of Service ("Terms") govern your access to and use of the Dinly mobile application ("App") and any related services. They form a legally binding agreement between you and us.

These Terms apply worldwide including to users in the European Union, United Kingdom, United States, and all other territories where the App is available.

2. Eligibility

You must be at least 18 years of age to create a group or purchase a subscription. If you are between 13 and 17 years of age (or between 16 and 17 in the EU/EEA) you may use the App only with the express consent and supervision of a parent or legal guardian who accepts these Terms on your behalf and takes responsibility for your use of the App.

The App is not intended for children under 13 years of age (under 16 in the EU/EEA). If you are under the minimum age you may not use the App.

By using the App you represent that you meet the eligibility requirements above.

3. Your account and group membership

3.1 Account creation

You may sign in using Apple Sign In or Google Sign In. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately if you suspect unauthorised access.

3.2 Invite codes and group membership

Groups are created by a group owner ("Owner") who receives a unique six-character invite code. Membership is by invite only. If you share an invite code you are responsible for the people you invite. We are not liable for unauthorised group access resulting from a leaked invite code. Owners should regenerate invite codes promptly if they believe a code has been compromised.

3.3 Roles and permissions

The Owner creates and manages the group, sets envelope budgets, approves or rejects money requests, sets weekly spending limits for group members, and may add or remove members. Group members ("Members") may submit money requests, view budget information, and add payment handles. Owners and Members have different levels of access as described in the App. We may not be held liable for disputes between Owners and Members regarding access, permissions, or decisions made within a group.

3.4 Account accuracy

You agree to provide accurate and complete information when setting up your profile and to keep that information current. You may not impersonate another person or use a name that is offensive, misleading, or that you do not have the right to use.

4. Subscriptions and billing

4.1 Free tier

The App is available for free with the following limitations: one group per account, a maximum of five active members per group, and advertisements displayed to group Members (not Owners). Free tier features may change at our discretion with reasonable notice.

4.2 Paid subscription tiers

The App offers the following auto-renewable subscription tiers:

Dinly Group Plus — Unlimited groups, up to ten members per group, full activity history. Group Members continue to see advertisements.

Dinly Group Pro — Unlimited groups, unlimited members per group, full activity history with PDF export, and no advertisements for any member of the group.

Prices are displayed in the App at the time of purchase and are subject to change. Current prices are available in the App Store or Google Play listing for your territory.

4.3 Billing and auto-renewal

Subscriptions are billed through your app store account — your Apple ID if you use the App on iOS, or your Google Play account if you use the App on Android. Payment is charged to that account at confirmation of purchase. Subscriptions automatically renew at the end of each billing period unless auto-renewal is turned off at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period. You can manage and cancel subscriptions at any time in your Apple ID Account Settings (iOS) or under Payments & subscriptions in the Google Play app (Android).

4.4 Free trials

Where a free trial is offered, you will not be charged during the trial period. If you do not cancel before the trial period ends, your subscription will automatically convert to a paid subscription and you will be charged the applicable subscription price.

4.5 No refunds

All subscription fees are non-refundable to the fullest extent permitted by applicable law.

We do not provide refunds for any subscription period, partial subscription period, unused features, or any other reason. This includes but is not limited to: change of mind, dissatisfaction with the App, failure to cancel before auto-renewal, or accidental purchase.

Access until end of billing period. If you cancel your subscription at any time, you will retain access to all paid features until the end of your current billing period. Cancellation takes effect at the next renewal date. You will not be charged further after cancellation. No credits, refunds, or pro-rated amounts will be issued for unused days remaining in your current billing period.

Refund requests. All payments are processed by Apple or Google, depending on your platform. Any refund requests must be submitted directly to the relevant store: through the App Store or at reportaproblem.apple.com for iOS, or through your Google Play order history for Android. Their refund decisions are final and are not within our control. We cannot issue refunds independently of Apple's or Google's processes.

Exceptions required by law. Nothing in this Section limits your statutory refund or cooling-off rights under applicable mandatory consumer protection laws that cannot be excluded by contract. EU and UK consumers may have a statutory right of withdrawal for digital content purchases. However, by initiating use of a subscription immediately after purchase you expressly consent to the immediate performance of the service and acknowledge that this waives your right of withdrawal under EU Directive 2011/83/EU and equivalent UK law. Automatic charges on renewal do not trigger a new withdrawal period.

4.6 Subscription tier changes

If you upgrade from Group Plus to Group Pro mid-cycle, the upgrade takes effect immediately and the relevant store will handle any applicable proration in accordance with its standard policies. If you downgrade from Group Pro to Group Plus, the downgrade takes effect at the start of the next billing period. You retain Pro features until the end of the current period.

4.7 Price changes

We reserve the right to change subscription prices at any time. Price changes will be communicated via the App Store or Google Play and will take effect at your next renewal date following reasonable notice. Continued use of your subscription after a price change constitutes acceptance of the new price. If you do not accept a price change, you must cancel your subscription before it renews at the new price.

5. Acceptable use

5.1 Permitted use

You may use the App solely for lawful personal or household budget management purposes in accordance with these Terms.

5.2 Prohibited conduct

You agree not to:

  • Use the App for any unlawful purpose or in violation of any applicable laws or regulations
  • Submit false, fraudulent, or misleading money requests
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Attempt to gain unauthorised access to another user's account or group
  • Share, distribute, or publish another user's payment handles or personal information without their consent
  • Use the App to harass, threaten, intimidate, or harm any person
  • Use the App to launder money or facilitate financial crime
  • Attempt to reverse engineer, decompile, disassemble, or derive source code from the App
  • Use automated tools, bots, or scripts to access or interact with the App
  • Interfere with or disrupt the App's servers, networks, or infrastructure
  • Use the App in any manner that could damage, disable, or impair the App or interfere with other users' use

5.3 Content responsibility

You are solely responsible for all content you submit through the App including request notes, group names, envelope names, display names, and payment handles. You represent that any content you submit does not violate any third party's intellectual property rights, privacy rights, or any applicable laws.

6. Payments — important limitations

6.1 Dinly does not process payments

Dinly is a budget coordination and request management tool only. We do not hold, transfer, process, clear, settle, or guarantee any payment between users. We are not a payment processor, money transmitter, financial institution, or regulated financial services provider.

6.2 Third-party payment applications

When a money request is approved, the App may launch a third-party payment application (such as PayPal, Venmo, Cash App, or Revolut) with information pre-populated. The actual payment — if any — is made entirely within the third-party application. We have no control over, and accept no responsibility for, any third-party payment application, its availability, accuracy, terms, or the outcome of any payment made through it.

6.3 No guarantee of payment

Approval of a money request within Dinly does not constitute a legally enforceable promise to pay, a guarantee of payment, or a completed transaction. Whether a payment is actually made is entirely between the Owner and the Member. We are not a party to any financial arrangement between users.

6.4 Disputes between users

We are not responsible for resolving disputes between group members regarding money requests, approvals, rejections, payments made or not made, or any other financial arrangements. We strongly recommend that users maintain their own records of any payments made.

6.5 No financial advice

Nothing in the App constitutes financial advice, investment advice, or any regulated financial service. Budget amounts, envelope structures, and spending recommendations you make or receive within the App are personal decisions made entirely at your own risk.

7. Intellectual property

7.1 Our intellectual property

The App, its design, code, content, trademarks, and all related intellectual property are owned by us or our licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the App on devices you own or control, solely for your personal non-commercial use in accordance with these Terms.

7.2 Restrictions

You may not copy, modify, distribute, sell, sublicense, or create derivative works of the App or any part of it. You may not use our trademarks, service marks, or trade names without our prior written consent.

7.3 Your content

You retain ownership of content you submit to the App (group names, envelope names, request notes, display names). By submitting content you grant us a limited, worldwide, royalty-free licence to store, display, and transmit your content solely as necessary to provide the App's services. We do not claim ownership of your content.

7.4 Feedback

If you provide feedback, suggestions, or ideas about the App, you grant us an irrevocable, perpetual, worldwide, royalty-free licence to use, implement, and incorporate such feedback without restriction or compensation to you.

8. Third-party services

The App integrates with or links to third-party services including Apple Sign In, Google Sign In, Google Firebase, Google AdMob, and payment applications. Your use of those services is subject to their respective terms of service and privacy policies. We are not responsible for the practices, availability, or content of any third-party service.

We use Google AdMob to serve advertisements to group Members on Free and Plus subscription tiers. Group Owners never see advertisements. By using the App as a Member on Free or Plus tier you acknowledge that advertisements will be displayed and that AdMob may use your advertising identifier subject to your consent under Apple's App Tracking Transparency framework (iOS) or your device settings (Android).

9. Disclaimer of warranties

To the fullest extent permitted by applicable law, the App is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that: (a) the App will meet your requirements; (b) the App will be uninterrupted, timely, secure, or error-free; (c) any data stored in the App will be accurate or reliable; (d) the quality of any products, services, information, or other material obtained through the App will meet your expectations; or (e) any errors in the App will be corrected.

Some jurisdictions do not allow the exclusion of certain warranties. If you are a consumer in such a jurisdiction, some or all of the above exclusions may not apply to you and you may have additional statutory rights that cannot be excluded.

10. Limitation of liability

To the fullest extent permitted by applicable law, in no event shall we be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, service interruption, computer damage, system failure, or the cost of substitute services, arising out of or in connection with these Terms or your use of the App, however caused and whether in contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by applicable law, our total cumulative liability to you for all claims arising out of or related to these Terms or your use of the App shall not exceed the greater of: (a) the amount you paid us in the twelve months immediately preceding the claim; or (b) one hundred euros (€100) or the equivalent in your local currency.

The limitations in this Section apply even if any remedy fails of its essential purpose.

Nothing in these Terms limits or excludes our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be excluded or limited by applicable law. If you are a consumer in the EU or UK, your statutory rights are not affected.

11. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless us and our affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your access to or use of the App; (b) your breach of these Terms; (c) your violation of any third-party rights; or (d) any content you submit through the App.

12. Termination and suspension

12.1 Termination by you

You may stop using the App at any time. To delete your account contact us at contact@dinly.online or use the account deletion feature within the App. Upon deletion your group data will be removed from Firestore within 30 days subject to our data retention obligations.

12.2 Termination by us

We reserve the right to suspend or terminate your access to the App at any time, with or without notice, if we believe in good faith that you have violated these Terms, applicable law, or that your continued access poses a risk to other users or the integrity of the App. Termination does not entitle you to a refund of any subscription fees. You retain access to paid features until the end of your current billing period where termination is not due to a serious breach.

12.3 Effect of termination

Upon termination of your access: your right to use the App ceases; your group data may be deleted; and all provisions of these Terms that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, limitations of liability, and dispute resolution.

13. Governing law and dispute resolution

13.1 Governing law

These Terms shall be governed by and construed in accordance with the laws of Malta, without regard to conflict of law provisions.

13.2 EU and UK consumers

If you are a consumer located in the EU or UK, you benefit from any mandatory provisions of consumer protection law applicable in your country of residence. Nothing in these Terms affects your rights as a consumer to rely on those mandatory provisions. EU consumers may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

13.3 Informal resolution

Before filing any formal legal claim we encourage you to contact us at contact@dinly.online to attempt informal resolution. We will try to respond within 30 days.

13.4 Jurisdiction

Subject to Section 13.2, you consent to the exclusive jurisdiction of the courts of Malta for any dispute arising under these Terms.

14. App store terms

14.1 Apple App Store

You acknowledge that these Terms are between you and us only and not with Apple Inc. Apple is not responsible for the App or its content. Apple has no obligation to provide maintenance or support for the App. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price for the App (if any) to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to the App. Apple is not responsible for addressing any claims by you or any third party relating to the App or your possession and use of the App.

14.2 Google Play

Your use of the App on an Android device obtained via Google Play is between you and us only, not with Google LLC ("Google"). Google is not responsible for the App or its content and has no obligation to provide maintenance or support for the App. Your use of the App must comply with Google Play's Terms of Service in effect at the time. Google is a third-party beneficiary of these Terms and may enforce them against you.

15. Changes to these Terms

We reserve the right to modify these Terms at any time. When we make material changes we will notify you through the App or by other means with reasonable advance notice. Changes will be effective upon the date specified in the notice. Your continued use of the App after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the App and may cancel your subscription before the changes take effect.

For changes required by law we may not be able to provide advance notice. In such cases the changes take effect immediately.

16. General provisions

16.1 Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the App and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.

16.3 No waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

16.5 Force majeure

We shall not be liable for any delay or failure to perform our obligations under these Terms where such delay or failure results from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, civil disturbance, acts of government, failure of third-party infrastructure (including Firebase, Apple systems, Google systems, or internet infrastructure), or any other cause beyond our reasonable control.

16.6 Language

These Terms are written in English. Where these Terms are translated into other languages for convenience, the English version shall prevail in the event of any inconsistency.
